Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Canon website, applications, and services (collectively, the “Service”) provided by Strike Labs, LLC (“Strike Labs,” “we,” “us,” or “our"). Strike Labs, LLC is a Delaware limited liability company headquartered in Norwalk, Connecticut. Our primary point of contact is John Casano at john@strikelabs.io.
By accessing or using the Service, creating an account, or downloading any file from the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
1. Acceptance of Terms
By using the Service, you represent and warrant that you are at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
2. Description of Service
The Service is a visual design and simulation tool for software development lifecycle (SDLC) orchestration flows. It allows users to create, edit, simulate, save, and export blueprints, workflow definitions, agent instructions, and related artifacts (“Exported Files”) for use with third-party platforms and tools.
The Service does not execute, deploy, or manage any code, infrastructure, or workflows on your behalf. All execution occurs outside the Service and under your control.
3. Accounts and Registration
You may be required to create an account to access certain features. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4. User Content
“User Content” means any blueprints, prompts, configurations, comments, or other materials you create, upload, or store using the Service. You retain ownership of your User Content. By using the Service, you grant Strike Labs a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, display, and transmit your User Content solely for the purpose of operating, providing, and improving the Service.
5. Acceptable Use
You agree not to use the Service to: (a) violate any applicable law or regulation; (b) infringe or misappropriate any intellectual property or other proprietary rights; (c) distribute malware, viruses, or harmful code; (d) interfere with or disrupt the Service or its underlying infrastructure; (e) attempt to gain unauthorized access to the Service or related systems; (f) harass, abuse, or harm others; or (g) generate or distribute content that is illegal, defamatory, obscene, or discriminatory.
We reserve the right to suspend or terminate your access for any violation of these Terms or for conduct that we reasonably believe is harmful to the Service or other users.
6. Generated Files, No Warranty, and Assumption of Risk
THE SERVICE AND ALL EXPORTED FILES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Exported Files may include automation, scripts, prompts, agent instructions, and workflow definitions that can create, modify, delete, deploy, or otherwise affect code, repositories, environments, cloud infrastructure, and third-party services when you install and run them. Strike Labs does not review, test, certify, or execute Exported Files on your behalf.
You are solely responsible for: (i) reviewing, testing, and validating every Exported File before use; (ii) running Exported Files in an isolated, non-production environment first; (iii) maintaining appropriate backups; (iv) ensuring human approval for any destructive, deploy, or infrastructure-changing action; and (v) ensuring compliance with your organization’s policies and all applicable laws.
7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, STRIKE LABS, ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE OR ANY EXPORTED FILES.
In no event shall Strike Labs’ total aggregate liability for any claims arising out of or relating to these Terms exceed the amount you paid Strike Labs for use of the Service in the twelve (12) months preceding the claim, or one hundred U.S. dollars (USD $100), whichever is greater.
Before any download, the Service requires you to acknowledge these limitations. That acknowledgement constitutes your agreement to this Section and to Section 6.
8. Indemnification
You agree to indemnify, defend, and hold harmless Strike Labs and its officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your User Content; (b) your use of the Service or Exported Files; (c) your violation of these Terms or any applicable law; or (d) your infringement of any third-party right.
9. Intellectual Property
Except for User Content, all materials, software, designs, text, graphics, logos, and other content made available by Strike Labs through the Service are owned by Strike Labs or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of such materials except as expressly permitted by these Terms or with our prior written consent.
10. Third-Party Services
The Service may integrate with or generate output for third-party platforms such as GitHub, cloud providers, and AI services. Your use of those platforms is governed solely by their respective terms and policies. Strike Labs is not responsible for the availability, accuracy, or practices of any third-party service.
11. Termination
You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, all licenses granted to you under these Terms will immediately cease, but Sections 6, 7, 8, 9, 13, and 14 will survive.
12. Dispute Resolution and Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.
13. Changes to Terms
We may modify these Terms from time to time. If we make material changes, we will post the updated Terms with a new effective date and, where appropriate, notify you through the Service. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
